STATUTES of the AZERBAIJAN MEDICAL ASSOCIATION (summary)

1. General provisions
1.1. The full name of the association is Azerbaijan Medical Association (here in after referred to as 'The Association').
1.2. Azerbaijan Medical Association (AzMA) is a voluntary non-politi- cal, non-governmental, religious free, non-profit and an indepen- dent medical organization.
1.3. AzMA regulates its activities by Constitution of the Azerbaijan Republic and this statutes.
1.4. The Association is established for an unlimited period of time.
1.5. The Association possesses its independent balance, membership card, official blank and other requisites.
1.6. The working language of the Association shall be Azeri.
1.7. The Association may integrate into international organizations.

2. The objectives and activities of the Association
2.1. Objectives of the AzMA are:
-- to improve professional skills of physicians and enhance health- care;
-- to support physicians in their scientific and public activities;
-- to help all physicians in management of their problems and de- fense rights and interests of physicians on national and inter- national label;
-- to build high standard of professional ethics;
-- to establish mutual cooperation between physicians,
-- to support and realize any idea towards improvement of finan- cial teams of students, young doctors, practitioners and re- searchers.
2.2. Activities of the AzMA are:
-- organization of conferences, seminars, exhibition, training courses, discussion groups, clubs in any fields of medical science;
-- realization of projects for improvement quality of healthcare and scientific research programs;
-- providing up-to-date information to physicians to standardize their qualification;
-- publication, translation, distribution of medical literature;
-- participation in leisure and creative activities of physicians;
-- participation in elaboration and realization of different eco- logical projects
-- propaganda and struggling against drug addiction and HIV/AIDS;
-- realization of necessary preventive and therapeutic measures to protect public health
-- realization of different projects on reproductive health and family planning.

3. Governing Bodies of the Association
3.1. The Supreme organ of the Association is the Conference which shall meet at least once in every three years. Tasks related to Confe- rence are regulated by this Statutes. The Executive Board solves all tasks related to organization of the Conference. Two third of representatives and more achieve a quorum. Decisions of the Confe- rence are approved by simple majority.
3.2. Conference:
-- approves Statutes of the AzMA;
-- amends and adds any changes to Statutes;
-- elects President, Executive Board, Control and Inspection Commission;
-- discusses any tasks related to activity of the AzMA;
-- hear the reports of elected organs and accepts decisions.
3.3. The representative of Conference is allowed:
-- to speak;
-- to give proposals;
-- to vote or be elected to the Governing bodies.
3.4. Medical students , graduates, scientific researchers, medical specialists, practitioners who are not members;
-- honored members;
-- invited quests may participate in Conference as an observer.
3.5. The observer is allowed:
-- to speak;
-- to give proposal.
3.6. The main part of the decisions, proposals and discussions are noted in Protocol of Conference. Decision of Conference do not have to be discussed again.
3.7. The Executive Board:
-- governs the Association during period of Conferences;
-- approved its Chairperson;
-- approves Vice-presidents sighed by the President;
-- launches the decisions of Conference;
-- accepts different decisions regulating activity of the Association;
-- realizes all tasks related to membership;
-- confirms the Regulations of the working organs;
-- confirms the Structure and plan of financial activity proposed by the President;
-- has a meeting at least twice a month;
-- 50 + 1 members achieve a quorum.
3.8. The Chairperson of the Executive Board:
-- is elected amongst members of the Executive Board in the first meeting;
-- informs President about decisions made by the Executive Board.
3.9. President :
-- is elected by Conference until the next Conference;
-- is a representative of the Association and chief of the working organs;
-- is responsible for activity of the AzMA;
-- represents interests of the AzMA on international label;
-- reports on Conference about his activities;
-- may vetos decisions of the Executive Board;
-- commends Vice-president, chairpersons of committees structure of the Association to the Executive Board;
-- participate in all meetings of the Executive Board.
3.10. Vice-presidents:
-- realize decisions of the Executive Board and President;
-- maintain relations of activities of committees;
-- maintain relation between Committees ;
-- maintain to board decisions of the Executive Board and
President, supervise its realization;
-- are responsible for all meetings which are organized by the AzMA
3.11. First Vice - president realizes temporarily all responsibilities of President, if he(she) does not function under special circum- stances.
3.12. Control and Inspection Commission :
-- is elected by Conference involving three persons until the next conference;
-- elects its chairperson;
-- supervises to solve all decisions according to Statutes;
-- to responds any question raised by a member of the AzMA du- ring 15 days;
-- raises question at Executive Board about cession of membership.
3.13. The chairperson of Control and Inspection Commission:
-- organizes the work of Commission
-- participates in the meeting of the Executive Board as an observer;
-- reports on Conference about activities of Commission .
3.14. Permanent Committees:
-- are approved by the Executive Board to launch objectives and
activities of the AzMA

4. Membership
4.1. Membership should be:
-- individual and collective .
-- any medical specialist, students of medical faculties of any universities, non-state and state founded hospital medical workers being citizen of the Azerbaijan Republic may be a mem- ber of the AzMA;
-- any above mentioned citizen of the Azerbaijan Republic who would like to be a member of the AzMA have to write an appli- cation to President;
-- collective membership is approved by simple voice majority in meeting of the Executive Board in accordance with resolu- tion of President;
-- membership card is given to a member of the Association after approving by Executive Board and President;
-- membership fee is determined by the decision of the Executive Board.
4.2. Members are allowed:
-- to vote and be elected to the governing bodies of the Asso- ciation;
-- to participate in all discussions related to the Association;
-- to raise a question related to any problems to Control and Inspection Commission;
-- to participate in meetings organized by the AzMA.
4.3. Tasks of members:
-- to appreciate professional ethics and statutes of the AzMA;
-- to participate actively in the work of the AzMA;
-- to help solve problems related to the structure and material- technical supplement of the Association;
-- to pay a membership fee.
4.4. The membership is ceased in the following cases:
-- on the basis of the appeal of a member
-- in the case of not paying the membership fee at least three time
-- in the case of not observing statutes of the AzMA.
4.5. Dismissing of the members is released by resolution of the Control and Inspection Commission in accordance with the decision of the Executive Board.
4.6. Members having great influence and experience in the activity of the Association is given a honored status by the special decision of the Executive Board

5. Property and finances of the Association and sources of income
5.1. The financial means may be formed via the following resources:
-- fees paid by members in the amount and form determined by the Board;
-- subsidials and other financial assistance granted in aid of the governmental and non-governmental organizations;
-- profits obtained from the establishments, centers attached to the AzMA;
-- resources not prohibited by the legislation;
-- grants, given by local and foreign funds for realization of prog- rams and projects of the AzMA.

6. Final provisions
6.1. The Board shall publish an annual report including income and expenditure statement for the previous year.
6.2. Minutes:
The decisions of the Board Meetings shall be reflected in the Records kept of each Board Meeting. The position shall act as a Secretary to the Board and keep or cause to be kept The Minutes of every meeting of the Board. Notes about place, venue, date and participants shall be included in the Minutes as well as the main summary of the discussions. All voting results shall be recorded in the Minutes.
6.3. Discontinuation of activities of the Association:
-- under decision of the conference;
-- under judgement of Court.
